Business Service Agreement Template
This framework supports ESL schools, companies, hotels, travel agencies, and private groups. A booking becomes binding only after both parties approve a written quotation or signed agreement.
Scope and exclusivity
The signed quotation must identify the tour, dates, pickup points, itinerary, vehicle, guide, group size, inclusions, exclusions, accessibility needs, and price. A private school or organization booking is exclusive to the named group. Outside joiners are not added unless the client gives written approval.
Confirmation and changes
A request is not confirmed until Cebu OK Travel provides written availability and both parties accept the price and scope. Changes to dates, passenger numbers, route, pickup, or activities require written approval and may change the price.
Payment
The signed quotation states the reservation fee, payment schedule, currency, taxes when applicable, and approved payment channel. Payments are requested only after availability and the final amount are confirmed. Cebu OK Travel does not store payment card numbers or CVV data.
Cancellation, safety, and waivers
The accepted quotation and Refund Policy control cancellation and refund terms. Weather, government orders, sanctuary rules, ferry schedules, and safety conditions may require rescheduling or route changes. Participants may need to complete activity waivers and follow guide instructions.
Client responsibilities
The client will provide an authorized coordinator, accurate passenger information, emergency contacts where appropriate, pickup readiness, health or mobility information relevant to safe participation, and required guardian approvals for minors.
Privacy and confidentiality
Each party will protect personal and confidential information, share only what is needed for the service, and follow applicable privacy law. If either party processes personal information on behalf of the other, suitable data-processing terms must be included.
Liability and insurance
Final liability limits, indemnities, insurance requirements, force-majeure terms, and supplier responsibilities must be negotiated for the specific engagement. This public template does not state that either party holds insurance.
Law, disputes, and signature details
The signed agreement should state its effective date, term, termination rules, notices, governing law, dispute process, full legal names, addresses, authorized representatives, and signatures. Unless the signed agreement states otherwise, Philippine law applies.
